Acquisition to add new technology to ESE’s global 360 Esports business
- The transaction is expected to strengthen ESE’s position in esports and games, adding GameAddik’s existing customer base to that of ESE. Customers include some of the world’s largest video game developers.
- In fiscal 2020, GameAddik generated revenues of $ 24.0 million and operating revenues of $ 4.7 million (unaudited).

(“we“”, “ESE“, or the”Society“) (TSXV: ESE) (OTCQB: ENTEF) is pleased to announce that it has entered into a share purchase agreement (the”SPA“) to acquire 9327-7358 Québec Inc. DBA GameAddik (“GameAddik“), a Canadian technology company focused on games and electronic sports (the”Acquisition“). GameAddik has demonstrated consistent revenue growth and profitability based on historical unaudited financial data. GameAddik operates in Quebec, Canada, and works with some of the most recognized game publishers in the world.

Under the SPA, ESE will acquire 100% of the issued and outstanding securities in the capital of GameAddik in exchange for (i) $ 2,061,000 in cash payable at Closing or within five (5) days of Closing, ( ii) $ 2,751,000 in cash payable six (6) months from closing, subject to an adjustment based on GameAddik’s working capital at closing and (iii) 7,377,143 common shares of ESE (the “”Counterpart actions“). The Company will have the right to repurchase 5,848,163 of the matching shares for nominal consideration if certain revenue milestones are not met by GameAddik for its fiscal years 2022 to 2024. Following the acquisition, key personnel of GameAddik will continue. to operate the activities of GameAddik.
Completion of the acquisition remains subject, among other things, to the approval of the TSX Venture Exchange.
